Terms of Service

1. CORPORATE STATUS & RELATIONSHIP DISCLAIMER

Tech Bridge-City Ltd operates as:

• •An education and training provider
• •A consulting and advisory firm
• •A technology innovation hub
• •A venture incubation and ecosystem platform

Nothing in this Agreement creates:

• •An employment relationship
• •A joint venture
• •A partnership
• •An agency relationship
• •A fiduciary duty
• •An investment advisory relationship

Participation in any program does not entitle you to equity, compensation, employment, or ownership unless explicitly agreed in a separate written contract signed by authorized representatives of the Company.

2. ELIGIBILITY & USER REPRESENTATIONS

You represent and warrant that:

• •You are at least 18 years old (or have lawful guardian consent).
• •You have legal capacity to enter binding agreements.
• •Your participation does not violate any applicable law.
• •You will not use the Services for unlawful or infringing purposes.

We reserve the right to verify identity and eligibility.

3. NO GUARANTEE OF RESULTS

The Company provides education, advisory, and technology services. We expressly disclaim guarantees of:

• •Employment
• •Internship placement
• •Revenue generation
• •Business profitability
• •Startup funding
• •Certification approval
• •Investment outcomes
• •AI output reliability
• •Business growth

All results depend on independent variables outside Company control.

You assume full responsibility for decisions made based on information provided.

4. INTELLECTUAL PROPERTY

All materials provided through the Services ("Content") are proprietary assets of Tech Bridge-City Ltd or its licensors.

This includes but is not limited to:

• •Curriculum
• •Recorded sessions
• •AI prompts and systems
• •Frameworks
• •Methodologies
• •Branding assets
• •Code and software
• •Strategic documents
• •Design systems
• •Incubation models
• •Venture playbooks

Protected under:

• •Nigerian Copyright Act
• •Berne Convention
• •WIPO Treaties
• •US Copyright Act
• •EU IP Directives
• •TRIPS Agreement

You may NOT:

• •Record sessions without consent
• •Share login credentials
• •Reproduce or distribute materials
• •Create derivative works
• •Reverse engineer software
• •Scrape content
• •Train AI systems using our materials
• •Use materials to build competing products
• •Upload materials to public or private repositories

Violation may result in:

• •Immediate termination
• •Civil damages
• •Criminal prosecution (where applicable)
• •Injunctive relief
• •Cross-border enforcement actions

5. AI USAGE & TECHNOLOGY DISCLAIMER

If Services incorporate AI or automated systems:

• •Outputs are probabilistic and may contain inaccuracies.
• •We do not warrant completeness, accuracy, or reliability.
• •Users must independently verify AI outputs.
• •Users may not use outputs for unlawful or regulated decisions without independent review.
• •Users may not use Company systems to train competing AI models.

We disclaim liability for actions taken based on AI outputs.

6. PAYMENT TERMS

All fees:

• •Are exclusive of applicable taxes
• •May include VAT where required
• •Are non-refundable unless expressly stated

International users are responsible for local tax compliance.

Chargebacks, fraudulent disputes, or abuse of payment systems may result in:

• •Permanent account suspension
• •Legal recovery of funds
• •Reporting to payment processors
• •Credit reporting (where lawful)

Installment plans are binding contractual obligations.

7. REFUND POLICY (STRICT ENFORCEMENT)

Payments are final.

No refunds for:

• •Change of mind
• •Scheduling conflicts
• •Failure to attend
• •Partial participation
• •Dissatisfaction based on subjective expectations

Refunds, if granted, are discretionary and may include administrative deductions.

8. ACCEPTABLE USE POLICY

Users shall not:

• •Harass participants
• •Distribute malware
• •Interfere with system integrity
• •Engage in academic dishonesty
• •Circumvent platform controls
• •Access systems without authorization
• •Use materials to train AI systems
• •Scrape or harvest data
• •Impersonate others

We may remove or permanently ban users without notice or refund.

9. NON-SOLICITATION & NON-CIRCUMVENTION

During participation and for 24 months thereafter, you agree not to:

• •Recruit Company employees or contractors
• •Replicate proprietary business models
• •Circumvent payment systems
• •Directly engage Company instructors to bypass the Company

Violation may result in injunctive relief and damages.

10. CONFIDENTIALITY

Any confidential information shared during:

• •Incubation
• •Advisory sessions
• •Corporate engagements
• •Startup collaborations

Must not be disclosed without written consent.

Obligations survive termination.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Total aggregate liability of Tech Bridge-City Ltd shall not exceed the greater of:

• •The amount paid by User in the previous 90 days, OR
• •USD $500

We are not liable for:

• •Indirect damages
• •Loss of profits
• •Loss of opportunity
• •Data loss
• •Business interruption
• •Reputational harm
• •AI inaccuracies
• •Third-party outages

Some jurisdictions may limit enforceability; liability is limited to the maximum extent permitted.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Tech Bridge-City Ltd, its directors, officers, employees, investors, affiliates, and contractors against claims arising from:

• •Misuse of Services
• •IP infringement
• •Breach of Agreement
• •Violation of law
• •Unauthorized distribution

13. THIRD-PARTY SERVICES DISCLAIMER

We may use:

• •Cloud hosting providers
• •Payment processors
• •LMS systems
• •Analytics tools
• •Communication platforms

We are not liable for third-party service failures or data breaches beyond our reasonable control.

14. DATA PROTECTION & GLOBAL COMPLIANCE

We comply with:

• •Nigeria Data Protection Act (NDPA)
• •EU GDPR
• •UK GDPR
• •CCPA (where applicable)

Personal data processing is governed by our Privacy Policy.

Cross-border transfers may occur with appropriate safeguards.

15. DISPUTE RESOLUTION & CLASS ACTION WAIVER

This Agreement is governed by Nigerian law.

All disputes shall:

1. First undergo mediation
2. Then binding arbitration in Lagos or Port Harcourt, Nigeria

Arbitration shall be confidential.

You waive rights to:

• •Jury trials
• •Class actions
• •Collective claims

16. FORCE MAJEURE

We are not liable for delays caused by:

• •Government action
• •War
• •Civil unrest
• •Pandemic
• •Cyberattacks
• •Infrastructure failure
• •Natural disasters

17. MODIFICATIONS

We may modify this Agreement at any time.

Continued use constitutes acceptance.
